Welcome to Listener.com Holdings Inc. (“Listener.com,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, platform, products, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal authority to enter into these Terms. If you are accessing or using the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

2. User Accounts To access certain features, you may be required to create an account. You agree to provide accurate and complete information when creating your account and to keep your credentials secure. You are responsible for all activities that occur under your account. Listener.com is not liable for any loss or damage arising from your failure to safeguard your account credentials.

3. License Grant Subject to your compliance with these Terms, Listener.com grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your internal business purposes. All rights not expressly granted herein are reserved by Listener.com.

4. Subscription and Payment Certain features of the Services require payment. By subscribing, you agree to pay all applicable fees and taxes. All payments are non-refundable unless otherwise required by law. Listener.com reserves the right to modify pricing, subscription tiers, or payment terms at any time, with reasonable notice to active subscribers.

5. Acceptable Use You agree to use the Services only for lawful purposes and in compliance with these Terms. You may not: (a) attempt to gain unauthorized access to the Services; (b) interfere with or disrupt the operation of the Services; (c) use automated systems, bots, or scraping technologies without prior written permission; or (d) use the Services in a way that infringes or misappropriates the rights of others.

6. Intellectual Property All content, software, designs, trademarks, and logos associated with the Services are the property of Listener.com Holdings Inc. or its licensors. Nothing in these Terms grants you ownership rights. You may not reproduce, distribute, modify, or create derivative works based on our intellectual property without prior written consent.

7. Data Ownership and Use You retain all rights to the data and content you upload or provide to the Services (“Customer Data”). Listener.com does not claim ownership of Customer Data but is granted a limited right to process it for the purpose of providing and improving the Services. Listener.com may also use aggregated and anonymized data derived from Customer Data for analytics, benchmarking, and product development, provided that such data cannot be used to identify you or your organization.

8. Third-Party Services and APIs The Services may integrate with or rely on third-party platforms, including but not limited to podcast hosting providers (e.g., Spotify for Podcasters, Apple Podcasts Connect, Megaphone, Acast, ART19, Simplecast), analytics platforms (e.g., Google APIs, YouTube Analytics), and social media platforms (e.g., TikTok, Instagram, X, Facebook, LinkedIn). By connecting any third-party account, you authorize Listener.com to access, process, and store information from those accounts to the extent necessary to provide the Services. Your use of third-party platforms is subject to their own terms and policies, and Listener.com is not responsible for the availability, accuracy, or security of such platforms. Listener.com will not sell or transfer your third-party data without your explicit consent.

9. Privacy Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection, processing, and use of your information as described in that policy. Where applicable, Listener.com complies with relevant data protection laws, including GDPR and CCPA.

10. Confidentiality Listener.com will maintain the confidentiality of Customer Data and other non-public information you provide, except where disclosure is required by law, permitted by these Terms, or authorized by you.

11. Termination Listener.com may suspend or terminate your account or access to the Services at its discretion if you violate these Terms or applicable laws, or if continued access could pose a security or legal risk. You may terminate your account at any time by ceasing use of the Services.

12. Disclaimers The Services are provided on an “as is” and “as available” basis. Listener.com disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Listener.com does not guarantee that the Services will be uninterrupted, error-free, or free of harmful components.

13. Limitation of Liability To the maximum extent permitted by law, Listener.com shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from or related to your use of the Services. Listener.com’s total liability to you for any claim will not exceed the total amount you paid for the Services in the twelve months preceding the claim.

14. Indemnification You agree to indemnify, defend, and hold harmless Listener.com, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Services or violation of these Terms.

15. Governing Law These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

16. Assignment Listener.com may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights under these Terms without prior written consent from Listener.com.

17. Amendments We may update or revise these Terms from time to time. Any material changes will be posted on our website. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
